Terms & Conditions – (For PT Centers & Therapists)
These Terms and Conditions (“Terms”) govern your clinic’s use of the TheraFlow platform (“Platform”) provided by TheraFlow Inc. (“TheraFlow,” “we,” “our,” or “us”). By registering as a provider or using the Platform, you agree to these Terms.
1. Scope of Services
TheraFlow offers a digital platform that enables physical therapy centers to:
1. Provide patients with a white-labeled mobile app
2. Manage appointments and digital intake
3. Deliver home exercise plans (HEPs)
4. Track patient engagement and outcomes
5. Communicate securely with patients
2. Licensing & Use
We grant your clinic a limited, non-exclusive, non-transferable license to use TheraFlow’s Platform for internal clinical and patient engagement purposes.
You may not:
1. Resell or sublicense the Platform
2. Modify, reverse-engineer, or misuse the Platform
3. Use TheraFlow for unlawful or non-therapeutic purposes
3. Branding & Customization
If using a white-labeled version of TheraFlow, you are responsible for:
1. Ensuring all uploaded content (e.g. logos, videos, documents) is properly licensed
2. Maintaining brand alignment with professional standards
TheraFlow reserves the right to remove or reject any inappropriate branding or materials.
4. Patient Data & HIPAA Compliance
TheraFlow is HIPAA-compliant and stores all patient data securely. As a Covered Entity under HIPAA, your clinic is responsible for:
1. Ensuring patient consent and legal compliance
2. Using the Platform in accordance with privacy laws
3. Informing patients about your clinic’s own privacy practices
We act as a Business Associate and will sign a Business Associate Agreement (BAA) with your organization upon account creation.
5. Subscriptions & Payment
Use of TheraFlow is provided on a subscription basis as outlined in your service agreement. Subscription fees are due in accordance with the agreed billing cycle. Failure to pay may result in suspended access or termination of service.
6. Account Access & Responsibilities
You are responsible for:
1. Managing staff access to the Platform
2. Ensuring users follow applicable laws and professional standards
3. Protecting account credentials and clinic data
7. Termination
Either party may terminate the agreement with 30 days’ notice. We may suspend or terminate access immediately for material breaches or misuse. Upon termination, you will no longer have access to Platform features or patient data (except as legally required).
8. Confidentiality
Each party agrees to keep confidential any non-public business, technical, or patient-related information accessed through the Platform.
9. Limitation of Liability
TheraFlow is not liable for any indirect, incidental, or consequential damages. Total liability is limited to the amount paid by your clinic in the 12 months prior to the claim.
10. Updates to Terms
We may update these Terms from time to time. Continued use of the Platform after updates constitutes acceptance of the new Terms.
11. Governing Law
These Terms are governed by the laws of the State of [Insert State], without regard to its conflict of law provisions.
